Statement of Work (SOW)

1. Purpose

A Statement of Work ("SOW") is the binding project document that defines the specific scope, deliverables, timelines, milestones, technical requirements, and fees for each AI automation engagement between Taskego ("Company") and the Client. Each SOW is issued under and governed by the terms of the Taskego Service Agreement.

2. SOW Contents

Each Statement of Work issued by Taskego will include the following components:

  • Project Overview: A summary of the business problem and the proposed AI automation solution.
  • Scope of Work: Detailed description of all services, integrations, and deliverables included in the engagement.
  • Technical Requirements: System specifications, API dependencies, data requirements, and platform prerequisites.
  • Deliverables & Milestones: Defined project phases with specific deliverables and acceptance criteria for each stage.
  • Timeline & Schedule: Estimated start date, milestone deadlines, and projected completion date.
  • Pricing & Payment Schedule: Total project fee, deposit amount, milestone payments, and final balance terms.
  • Client Responsibilities: Information, access, approvals, and cooperation required from the Client.
  • Assumptions & Exclusions: Any conditions assumed for the project and services explicitly excluded from scope.

3. Project Phases

Taskego projects are typically structured in the following phases, each documented in the SOW:

Phase 1 — Discovery & Audit

Technical analysis of existing workflows, systems, and automation opportunities. Includes stakeholder consultations and requirements gathering.

Phase 2 — Solution Architecture

Design of custom AI agent logic, workflow topologies, API integration architecture, data pipelines, and system diagrams.

Phase 3 — Development & Integration

Engineering of automation systems, AI model integration, API development, automated testing, and quality assurance.

Phase 4 — Deployment & Optimization

Production deployment, system monitoring, performance optimization, prompt calibration, and post-launch support.

4. Change Requests

Any modifications, additions, or changes to the agreed scope of work must be submitted as a formal Change Request. Change Requests will be evaluated by Taskego and may result in adjustments to the project timeline, deliverables, and/or fees. No changes shall be implemented without written approval from both parties.

5. Acceptance & Sign-Off

Each project phase or milestone requires formal acceptance from the Client. If no written objection or revision request is received within seven (7) business days of deliverable submission, the deliverable shall be deemed accepted as per the Service Agreement.

6. Client Responsibilities

The Client is responsible for:

  • Providing timely access to systems, APIs, credentials, and documentation required for the project.
  • Designating a primary point of contact for project communications and approvals.
  • Reviewing and approving deliverables within the agreed timeframe.
  • Providing accurate business requirements, data, and feedback.
  • Ensuring internal stakeholder alignment before project commencement.

Delays in fulfilling these responsibilities may result in revised project timelines and additional fees as outlined in the Service Agreement.

7. Confidentiality

All information shared within the SOW, including project specifications, business data, system architectures, and proprietary workflows, is subject to the confidentiality provisions outlined in the Service Agreement and Privacy Policy.

8. Payment Terms

All fees, deposit requirements, milestone payments, and final balance terms are specified in each individual SOW. Payment terms are governed by the Service Agreement. Initial deposits are non-refundable once work has commenced, as detailed in the Refund Policy.
