Service Agreement

1. Engagement & Scope of Work

This Service Agreement ("Agreement") governs the delivery of AI automation systems, custom AI agents, workflow automation solutions, business intelligence integrations, and related services provided by Taskego("Company") to the Client.

Each project engagement shall be defined through a separate Statement of Work ("SOW") outlining project objectives, deliverables, timelines, pricing, and technical requirements. Any services not explicitly included in the SOW shall be considered outside the project scope and may incur additional charges.

2. Delivery Process & Timelines

Taskego follows a structured development methodology:

Discovery & Audit

Analysis of current business workflows, systems, and automation opportunities.

Solution Architecture

Design of automation workflows, AI agent logic, API integrations, and system architecture.

Development & Integration

Engineering, testing, implementation, and deployment of agreed solutions.

Deployment & Optimization

Production launch, monitoring, performance optimization, and system fine-tuning.

Project timelines vary depending on complexity. Estimated delivery periods may range from 2–4 weeks for standard automation projects and up to 3–6 months for enterprise-level implementations.

Delivery timelines are contingent upon timely cooperation from the Client, including access credentials, documentation, approvals, feedback, and other required information. Delays caused by the Client may result in revised project schedules.

3. Intellectual Property Rights

All client-provided materials, business processes, data, trademarks, proprietary information, and pre-existing assets remain the sole property of the Client.

All proprietary frameworks, templates, software components, automation architectures, methodologies, source code libraries, AI models, and internal tools developed or owned by Taskego ("Taskego IP") shall remain the exclusive property of Taskego.

Upon full payment of all applicable fees, the Client is granted a non-exclusive, perpetual, royalty-free license to use the delivered solution for internal business operations unless otherwise stated in the SOW.

4. Fees, Deposits & Payment Terms

The Client agrees to pay all fees specified in the applicable Statement of Work.

Payment milestones typically include:

  • Initial Deposit (required before project commencement)
  • Milestone Payments (based on agreed project stages)
  • Final Payment (due upon project completion)

All invoices are payable within the timeframe specified in the SOW.

Non-Refundable Deposit

Any initial deposit paid by the Client is non-refundable once project discovery, planning, development, or implementation work has commenced.

Late Payments

Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by applicable law.

Taskego reserves the right to suspend work, support services, or project delivery until outstanding balances have been paid in full.

5. Confidentiality & Data Protection

Both parties agree to maintain the confidentiality of all proprietary information, trade secrets, customer information, technical documentation, and business data disclosed during the engagement.

Taskego implements commercially reasonable security measures to protect client information and system integrity.

The Client acknowledges that certain solutions may utilize third-party platforms and AI service providers, including but not limited to OpenAI, Anthropic, Google, Microsoft, and other vendors. Use of such services remains subject to the privacy policies, security practices, and terms of those providers.

6. Support, Maintenance & Service Levels

Post-deployment support shall be provided according to the service package purchased by the Client.

Standard support may include:

  • Bug fixes
  • System monitoring
  • API compatibility updates
  • Prompt optimization
  • Performance improvements

Requests for new features, major modifications, expanded integrations, or functionality outside the original SOW shall be treated as separate billable work.

7. Client Acceptance

The Client shall review deliverables promptly upon delivery.

If no written request for revisions or notice of material issues is received within seven (7) business days following delivery, the deliverables shall be deemed accepted and approved by the Client.

8. Limitation of Liability

To the maximum extent permitted by law, Taskego shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, loss of revenue, business interruption, loss of data, loss of goodwill, or loss of business opportunities.

Taskego's total liability arising out of any project or service shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

9. Termination

Either party may terminate an engagement by providing written notice.

In the event of termination, the Client shall remain responsible for payment of all completed work, approved milestones, and any expenses incurred up to the termination date.

No refunds shall be issued for completed services or work already performed.
